These Terms of Use govern your access to and use of Mentor. Mentor is provided by SurgEase Innovations Limited, a company registered in England and Wales under company number 10051324, with registered office at Burlington House, 1-13 York Road, Maidenhead, Berks, SL6 1SQ, United Kingdom ("we", "us" or "our"). Our VAT registration number is 302514650. You can contact us at support@surgease.co.uk. By creating an account or using Mentor, you agree to these Terms of Use. If you buy a paid Mentor subscription, our Consumer Subscription Terms also apply. Our Privacy Policy explains how we process personal data. If these Terms of Use conflict with the Subscription Terms on a matter concerning subscription pricing, billing, renewal, cancellation or refunds, the Subscription Terms take priority.
1. Who may use Mentor
1.1 Individual users
Mentor accounts are intended for use by individual users. You must provide accurate information when creating and using an account.
1.2 Age
You must be at least 18 years old to purchase a paid Mentor subscription. Mentor is not intended to be used independently by a person under 18 unless we have expressly made the relevant service available to younger users under appropriate arrangements and applicable law permits that use.
1.3 Legal capacity
You may only use Mentor if you are legally capable of agreeing to these Terms of Use. You must not use Mentor where doing so would breach applicable law.
2. Your account
2.1 One person per account
Your Mentor subscription is intended for normal use by the individual account holder and, where your plan allows it, for sharing content with other people through the sharing and viewing features provided by Mentor.
Your account and login credentials are personal to you and must not be shared with another person or used to allow multiple people to access Mentor as though they were the account holder. You must not:
- share your username, password or other account credentials with another person;
- allow multiple users to use a single-user subscription as a substitute for purchasing additional subscriptions where these are required;
- resell, sublicense or commercially provide access to your Mentor account unless we have agreed this with you in writing; or
- use automated or other methods intended to circumvent account, usage, storage or access limits.
You may share content with viewers, assessors or other permitted recipients using Mentor's designated sharing features. Those recipients do not need to use your login credentials.
2.2 Account security
You are responsible for taking reasonable steps to keep your login credentials secure. You should use an appropriately secure password, keep authentication credentials confidential, not knowingly permit unauthorised access and tell us promptly if you believe your account has been compromised. Contact support@surgease.co.uk if you become aware of unauthorised access.
You must keep material account information reasonably accurate and up to date. You must not impersonate another person or provide deliberately false information concerning your identity or entitlement to access Mentor.
3. Accessing Mentor
3.1 Technical requirements
Mentor requires a compatible device, a supported browser or other supported software, an internet connection and any other technical requirements reasonably necessary for the relevant functionality. Current technical requirements may be published within Mentor or in our help information. Technology and security standards change over time, so supported devices, browsers and operating systems may also change. Where a material technical change is likely to prevent use on previously supported systems, we will provide reasonable advance notice where practicable.
3.2 Geographic availability
Mentor may not be available in every country or territory. Features may also differ because of legal requirements, regulatory requirements, technical limitations, third-party dependencies or other legitimate operational reasons. The country rules applying specifically to paid subscriptions are contained in our Subscription Terms.
3.3 Geographic restrictions
You must not deliberately circumvent a geographic restriction imposed by Mentor, disguise your location in order to access a service not offered in your location, or provide false location information to evade legal, regulatory or product restrictions. This does not prevent ordinary use of Mentor while temporarily travelling in a country where access is permitted.
4. Permission to use Mentor
4.1 Licence
Subject to these Terms of Use, we give you a limited, personal, non-exclusive, non-transferable and revocable right to access and use Mentor for its intended purposes. This right does not transfer ownership of Mentor or any of our intellectual property to you.
4.2 Paid features
Your entitlement to paid functionality depends on the subscription associated with your account. Subscription rights are governed by the Subscription Terms.
4.3 No right to redistribute Mentor
Except where we expressly allow it, your right to use Mentor does not include the right to sell Mentor, rent access to Mentor, sublicense Mentor, make your account commercially available to another person, or redistribute our software or proprietary content.
5. Your content
5.1 Ownership
As between you and us, you retain ownership of intellectual-property rights you already have in material that you upload, create or submit through Mentor ("Your Content"). Using Mentor does not transfer ownership of Your Content to us.
5.2 Permission needed to operate Mentor
You give us a limited licence to host, copy, process, transmit, display and otherwise handle Your Content to the extent reasonably necessary to:
- provide Mentor to you;
- store and back up Your Content;
- allow authorised people to view or interact with it;
- provide functionality you request;
- maintain the security and integrity of Mentor;
- provide customer support; and
- comply with applicable law.
This licence is non-exclusive and does not give us ownership of Your Content.
5.3 Content you are entitled to use
You must only upload, submit or share content where you have the necessary rights or permission to do so.
You are responsible for ensuring that Your Content does not unlawfully infringe another person's copyright, trade mark rights, confidentiality, privacy, data-protection rights or other legal rights.
5.4 Personal information in content
If Your Content contains personal information concerning another person, you are responsible for ensuring that you are entitled to provide that information to Mentor for the relevant purpose. Our processing of personal data is described in our Privacy Policy.
5.5 Removing content
We may restrict or remove content where we reasonably believe this is necessary because the content is unlawful, infringes another person's rights, creates a material security risk, breaches these Terms of Use or must be removed to comply with a legal obligation or lawful authority. Where appropriate and lawful, we will give you information about the reason.
5.6 Published videos and content compliance
Videos that you choose to publish or otherwise make available through Mentor publication features will undergo content-compliance checks as part of the publication process. Where we identify content that we reasonably believe may be unlawful, illicit, exploitative, abusive or otherwise required to be reported, we may restrict or remove that content and report it to the relevant authorities or reporting bodies where required or permitted by applicable law. We reserve the right to disable access to, restrict, unpublish or remove any content that we reasonably believe to be illegal, obscene, indecent, harmful or otherwise in breach of these Terms of Use. We may take such action without prior notice where reasonably necessary to comply with applicable law, protect users or third parties, or protect the security or integrity of Mentor. Content-compliance checks are intended to support lawful and safe use of Mentor. They do not amount to an endorsement, approval or guarantee of the content.
6. Invitations, assessors and shared content
6.1 Inviting other users
Mentor may allow you to invite another person to view content, review content, carry out an assessment, provide comments or feedback, or participate in another authorised workflow. Invited users do not need to share your account credentials.
6.2 Access given by an invitation
An invitation gives the invited person only the access provided through the relevant Mentor functionality. It does not give them ownership of your account or a right to access other material.
6.3 Responsibilities of invited users
If you access Mentor because another user has invited you, you must only access content you are authorised to view, use it for the purpose for which access was granted, respect any applicable confidentiality or privacy obligations, and not redistribute the content without appropriate permission.
6.4 Assessment and reviewer submissions
If you submit an assessment, comment, rating, review or similar material in response to an invitation, you understand that the material may be made available to the person who invited you, other users authorised within the relevant Mentor workflow, and SurgEase Innovations Limited to the extent necessary to operate Mentor. You retain any intellectual-property rights you have in your submission while granting us the limited licence described in section 5.2.
6.5 Nature of assessments and rater judgement
Any video assessment, score, rating, comment or feedback provided through Mentor reflects the judgement of the individual rater or assessor who submits it. SurgEase Innovations Limited does not determine the substance of that assessment and does not independently verify or endorse the rater's judgement. To the extent permitted by law, we do not warrant that any assessment, score, rating, comment or feedback will be accurate, complete, consistent, suitable for a particular purpose or representative of the view that another assessor would reach. Assessments should be interpreted in the context in which they were provided and should not be treated as a guarantee of competence, performance, outcome or professional suitability.
6.6 Responsibility for invitations
You are responsible for ensuring that you have an appropriate reason and lawful basis for inviting another person to access content through your account.
7. Acceptable use
You must use Mentor lawfully and reasonably. You must not use or attempt to use Mentor:
- for an unlawful or fraudulent purpose;
- to infringe another person's rights;
- to harass, threaten or harm another person;
- to upload malicious code, malware or other harmful material;
- to gain unauthorised access to an account, system or data;
- to interfere with the normal operation or security of Mentor;
- to circumvent access controls, security controls, subscription limits or technical restrictions;
- to falsely represent your identity or authority;
- to scrape, crawl or systematically extract data except where we expressly permit it or applicable law provides otherwise;
- to place an unreasonable or disproportionate load on our infrastructure;
- to test or probe vulnerabilities without our written permission;
- to remove proprietary notices from Mentor;
- to sell, rent, sublicense or improperly redistribute Mentor; or
- to assist another person in doing any of these things.
You must not reverse engineer, decompile or otherwise attempt to derive Mentor's source code except to the extent that applicable law gives you a right that cannot legally be restricted.
7.1 Fair use of viewing and bandwidth
Your subscription includes reasonable use of Mentor's viewing, streaming, download and data-transfer functionality for the ordinary purposes of your plan. We do not normally impose a fixed limit on the number of legitimate views of content shared through Mentor unless a limit is stated as part of your plan. However, use must remain reasonable and must not place an unusually high or disproportionate demand on our systems or generate data-transfer, bandwidth or infrastructure costs that are materially greater than we would reasonably expect for normal use of the relevant plan. Examples of usage that may fall outside reasonable use include:
- exceptionally high volumes of views, downloads or data transfer that are inconsistent with normal use of the plan;
- using Mentor principally as a public video, file-hosting or content-delivery service;
- automated, scripted, bot-generated or artificial viewing or downloading;
- repeatedly distributing large files to unusually large audiences in a way that creates disproportionate bandwidth or infrastructure usage; or
- activity designed to circumvent technical restrictions or usage limits.
7.2 What happens if usage is excessive
If we reasonably believe your usage is materially excessive or outside the normal intended use of your plan, we will normally contact you first and explain the issue. Where reasonably practicable, we may ask you to reduce the relevant usage, move to a more appropriate plan, or agree alternative arrangements with us. If the excessive usage continues after reasonable notice, we may take proportionate steps to protect the service, including temporarily limiting the affected functionality or suspending the relevant sharing or viewing activity. We may act without prior notice where reasonably necessary to address fraud, security risks, unlawful activity, deliberate circumvention of our systems, or usage that is causing or is likely to cause material disruption or harm to Mentor or other users. We will not suspend or terminate a paid subscription for fair-use reasons arbitrarily, and any action we take will be proportionate to the nature and seriousness of the issue.
8. Our intellectual property
8.1 Mentor
Mentor, including its software, interface, design, branding, trade marks, documentation, databases and other proprietary materials, is owned by or licensed to SurgEase Innovations Limited. Except for the limited rights expressly granted by these Terms of Use, we and our licensors reserve all rights in Mentor.
8.2 Your Content is excluded
Our ownership rights in Mentor do not give us ownership of Your Content.
8.3 Feedback
If you voluntarily send us suggestions or feedback concerning Mentor, we may use that feedback to develop and improve our products and services. You should not include third-party confidential information in feedback unless you are authorised to disclose it. This provision does not give us ownership of Your Content merely because you contact support or provide product feedback.
9. Third-party services
Mentor may interact with or link to third-party products or services. Those services may be subject to the third party's own terms and privacy practices. We are not responsible for a third-party service merely because Mentor links to or interoperates with it. Where a third-party service forms a material part of functionality you purchase from us, this provision does not remove any legal responsibility that we cannot lawfully exclude.
10. Privacy
Our Privacy Policy explains what personal data we collect, why we use it, the legal bases on which we process it, who we share it with, international data transfers, retention periods and your data-protection rights. These Terms of Use do not replace the Privacy Policy.
11. Availability and changes to Mentor
11.1 Service availability
We aim to provide Mentor reliably and with the level of care and skill required by applicable law. However, an online service cannot reasonably be guaranteed to operate continuously or without errors. There may be periods of reduced functionality or unavailability because of maintenance, upgrades, security work, internet or hosting failures, third-party service failures, emergency work or circumstances outside our reasonable control. Where reasonably practicable, we will seek to minimise significant disruption.
11.2 Development of Mentor
We may update Mentor over time to improve its functionality, introduce new features, address bugs, maintain security, comply with law, respond to technological changes or replace obsolete functionality. Changes affecting the material value of a paid subscription are also subject to the Subscription Terms.
11.3 Beta, preview and experimental features
We may make functionality available that is clearly identified as beta, preview, experimental, early access or similar pre-release functionality.
Such features may be incomplete and may be changed, suspended or withdrawn more frequently than Mentor's established core functionality. We will not label established paid functionality as experimental merely to avoid obligations relating to material changes to a subscription.
12. Suspension and restrictions
12.1 When we may restrict access
We may temporarily restrict or suspend an account where we reasonably believe this is necessary because the account presents a material security risk, is being used fraudulently or unlawfully, you materially breach these Terms of Use, you repeatedly breach these Terms after being asked to stop, continued access risks material harm to another user or to Mentor, or we are legally required to act.
12.2 Notice
Where reasonably possible, we will tell you the reason for a proposed suspension and give you an opportunity to address the issue before access is restricted. We may act without advance notice where we reasonably believe advance notice would create a security risk, compromise an investigation, facilitate fraud or unlawful activity, cause harm to another person, breach a legal obligation or make the protective action ineffective.
12.3 Review of a decision
If we suspend or terminate your account because of suspected breach, fraud or misuse and you believe the decision is incorrect, you may ask us to review it by contacting support@surgease.co.uk. We may ask you to provide information reasonably necessary to investigate. Requesting review does not prevent us maintaining restrictions that are reasonably necessary for security, legal compliance or the protection of other users while the review takes place.
13. Ending your use of Mentor
13.1 You may stop using Mentor
You may stop using Mentor at any time. If you have a paid subscription, stopping use of Mentor does not by itself prevent future renewal. You should cancel the subscription in accordance with the Subscription Terms.
13.2 Account deletion
You may request deletion of your account using any account-deletion facility provided within Mentor or by contacting support@surgease.co.uk. If your account has a paid subscription, the effect on that subscription is described in the Subscription Terms.
If your right to store videos in Mentor ends because your subscription expires or because storage privileges provided by a sponsored network are removed, the affected videos will be permanently deleted 14 days after that storage entitlement ends.
You are responsible for downloading or otherwise retaining any content you are entitled to keep before the 14-day period expires. After deletion, the videos may no longer be recoverable through Mentor. Limited residual copies may remain temporarily in backup or disaster-recovery systems and may be retained where reasonably necessary for legal compliance, security, fraud prevention or legal claims, in each case subject to applicable data-protection law and our Privacy Policy.
13.4 What happens after account deletion
Permanent deletion may result in loss of access to Your Content and other information associated with your account. Before completing deletion, we will provide any information or warning required by applicable law. Some data may be retained where reasonably necessary for legal compliance, security, fraud prevention, legal claims, accounting obligations or backup and disaster-recovery processes, subject to applicable data-protection law and our Privacy Policy.
14. Our responsibility to you
14.1 Rights we cannot exclude
Nothing in these Terms of Use excludes or limits liability where doing so would be unlawful. In particular, nothing excludes or restricts liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, consumer rights that cannot lawfully be excluded, liability that applicable data-protection law does not permit us to exclude, or any other liability that cannot lawfully be limited.
14.2 Foreseeable loss
If we fail to comply with these Terms of Use, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of contract or failure to use the level of care and skill required by law. Loss or damage is foreseeable if it was obvious that it would happen or, when the relevant contract was entered into, both you and we knew that it might reasonably happen. We are not responsible for loss or damage that was not reasonably foreseeable unless applicable law provides otherwise.
14.3 Your statutory rights
Nothing in these Terms of Use affects your statutory rights as a consumer.
14.4 Content supplied by users
Mentor may contain material created or supplied by other users. We do not automatically endorse user-provided content. Where applicable law requires us to take action concerning unlawful or infringing material, we will do so in accordance with that law.
15. Changes to these Terms of Use
We may update these Terms of Use where reasonably necessary because of changes to Mentor, changes to law or regulation, security requirements, prevention of abuse, new functionality or a need to clarify the terms. Where a change materially disadvantages an existing user, we will normally provide at least 30 days' advance notice by email, through Mentor, or both. The notice will explain the change and the date on which it will take effect. Advance notice may not be practicable for urgent changes required to comply with law, respond to an immediate security risk, prevent fraud or serious abuse, or protect Mentor or its users from material harm. We will not use this provision as an unrestricted right to impose materially different obligations on you without appropriate notice or any rights required by law. If applicable law requires us to give you a right to stop using Mentor, cancel a related subscription or obtain another remedy because of the change, the notice will explain how to exercise that right.
Questions, complaints and notices concerning these Terms of Use may be sent to support@surgease.co.uk. Our registered office is Burlington House, 1-13 York Road, Maidenhead, Berks, SL6 1SQ, United Kingdom. Company number 10051324. VAT number 302514650. Please provide enough information for us to identify and investigate the issue. Where applicable law requires us to provide information about an alternative dispute-resolution body or other dispute process, we will provide it.
17. Governing law and courts
17.1 Governing law
These Terms of Use are governed by the laws of England and Wales. If you are a consumer living elsewhere, this choice of law does not deprive you of mandatory protections available under the law of your country of residence.
17.2 Courts
Nothing in these Terms of Use prevents you from using a court that applicable consumer law entitles you to use. If you live in England or Wales, you and we may bring proceedings in the courts of England and Wales. If you live elsewhere, you may also have rights to bring proceedings in the country where you live.
18. Other legal terms
18.1 Relationship with the Subscription Terms
These Terms of Use govern use of Mentor generally. If you have a paid subscription, the Subscription Terms govern the subscription-specific relationship.
18.2 Transfer by us
We may transfer our rights and obligations under these Terms of Use to another organisation, for example following a sale or reorganisation of our business. We will ensure that the transfer does not reduce your contractual rights and will provide notice where required by law.
18.3 You may not transfer your account
Your Mentor account is personal to you. You may not assign or transfer it to another person unless we agree otherwise.
18.4 Severability
If a court or competent authority determines that one provision of these Terms of Use is unlawful or unenforceable, the remaining provisions will continue to apply.
18.5 No waiver
If we delay enforcing a right, that does not mean we permanently give up that right.
18.6 Third-party rights
Except where expressly stated otherwise, a person who is not a party to these Terms of Use has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them. This does not affect any right or remedy available independently under law.
